Mike is a business attorney and the Chair of Cohen & Grigsby’s Tax Group. He advises clients in negotiating and structuring mergers, acquisitions and divestitures, and with respect to tax planning, transition and exit planning, captive insurance companies and estate planning matters. Mike serves as general corporate counsel for local, regional and national privately-held businesses. Mike also has significant experience in representing individuals and businesses in federal, state and local tax audits.

Mike’s experience covers a broad range of matters, including recapitalizations, mergers, acquisitions and divestitures, structuring captive insurance companies and private equity capital transactions. Mike has represented businesses and business owners, individual investors, universities and institutional investors in these transactions. Mike provides general day-to-day legal and business advice for private companies in a variety of industries, and he also acts as a strategic business counselor to his clients as they consider important business decisions and long-term investments.

Mike’s practice includes clients in many different industries, including manufacturing, energy, defense, chemicals, real estate, software, construction and financial services.

  • Representation of a developer in acquiring, developing, financing and operating a 130,000 square foot hotel and conference center
  • Representation of a group of employees in a management buy-out of a mass spectrometer technology business division of a publicly-traded U.S. company
  • Representation of a U.S. affiliate of a German conglomerate in an auction-based acquisition of the flooring adhesives division of a publicly-traded U.S. company
  • Representation of numerous universities and institutions in their investments in private equity funds
  • Representation of numerous clients in mergers, acquisitions and dispositions involving both private and publicly-traded companies
