Ben is an Associate who focuses his practice on corporate and transactional law related to mergers and acquisitions, commercial contracts, corporate governance, securities matters, and general corporate matters. He works with clients that operate in a variety of industries, including manufacturing, technology, financial services, and entertainment, and that range in size from family-owned concerns to multinational corporations. Prior to joining Cohen & Grigsby, Ben was an associate at K&L Gates.

  • Represented a family-owned manufacturing enterprise in connection with its $8 million restructuring to transfer ownership to the next generation
  • Represented a public benefit corporation in connection with a $2.25 million convertible note offering
  • Represented a regional water and wastewater treatment engineering and management firm in the sale of 100% of its primary operating subsidiary’s stock for $10 million
  • Represented a financial services software company in a $5 million venture capital debt transaction
  • Represented leading secondary lead producer with respect to its U.S. operations’ general corporate matters and commercial transactions
  • Represented publically traded corporation in $200 million acquisition of utility pole and piling producer
  • Represented a Pennsylvania based textile producer in $20 million stock sale to strategic purchaser
  • Represented U.S. software corporation in drafting and negotiating a master services agreement and 13 local country agreements to provide for the outsourcing of sales, marketing, and sales operations in Latin America
