Amanda is a corporate attorney who serves as legal counsel and strategic business advisor to a variety of the Firm’s clients. She works closely with in-house teams of large, international clients, and serves as outside general counsel for several of the Firm’s U.S. based clients. Amanda routinely structures, drafts, and negotiates complex commercial agreements for a variety of business purposes, including introduction of a product into a global market, development and supply of a new product, and the addition of a new supply chain. As an active member of the Firm’s Commercial Services Group, she is skilled at efficiently and effectively helping in-house teams manage workloads. She also routinely works with businesses large and small to both sell and acquire whole companies and discreet product lines.

Amanda serves as the workflow coordinator for the associates in the Business Services Group and also serves as a mentor to several of the Firm’s associates. She is actively involved in many corporate organizations and has been selected to the Pennsylvania Super Lawyers Rising Stars list from 2015-2019.

General Corporate

  • Member of the Commercial Services Group that routinely drafts and negotiates complex commercial agreements for clients in various industries
  • Provides strategic advice to clients regarding new business ventures, existing business expansion, and ordinary course issues
  • Counsels clients through the negotiation of governing documents and succession plans

Mergers and Acquisitions

  • Negotiates and effectuates the purchase and sale of whole companies and discreet product lines
  • Provides continuing business guidance to clients on both sides of M&A transactions

Emerging Business

  • Member of a team that assists emerging businesses throughout all stages of company life cycle – formation, development, commercialization, growth and exit
  • Represents companies with seed investments and business accelerator programs

Debt Finance

  • Drafts private placement memorandums for clients at various phases of the business cycle, from start-ups seeking seed funding, to fully developed companies seeking capital for new business ventures
  • Drafts investor documents, including convertible promissory notes, voting agreements, subscription agreements and buy-sell agreements
  • Assists strategic, angel and venture capital investors in connection with purchase of convertible debt and preferred stock securities
  • Adjunct Professor at the University of Pittsburgh School of Law beginning Spring of 2020, teaching Legal Writing for the Transactional Lawyer
