Amanda is a corporate attorney who focuses her practice on commercial contracts, mergers and acquisitions, emerging business and general business matters. She routinely works with businesses large and small to negotiate and draft all forms of commercial contracts such as terms and conditions, distribution agreements, and supplier agreements and to draft, structure, negotiate, document and conclude many types of transactions throughout a company’s life cycle. She is actively involved in many corporate organizations and was selected to the 2015, 2016 and 2017 Pennsylvania Super Lawyers Rising Stars list.

General Corporate

  • Part of the Commercial Agreements Group that routinely drafts and negotiates various commercial agreements for clients in various industries
  • Counsel clients through the negotiation of governing documents
  • Drafts corporate governance documents, including articles of incorporation, bylaws and stockholder agreements

Mergers and Acquisitions

  • Negotiate, draft and close stock sale, purchase and redemption transactions, asset sale and purchase transactions, joint venture agreements, mergers and conversions
  • Counsel clients on both sides of M&A deals and counsel companies subsequent to the transactions

Emerging Business

  • Part of a team that assists emerging businesses throughout all stages of company life cycle – formation, development, commercialization, growth and exit
  • Represent companies with seed investments and business accelerator programs

Debt Finance

  • Draft private placement memorandums for clients at various phases of the business cycle from start-ups seeking seed funding to fully developed companies seeking capital for new business ventures
  • Draft all investor documents, including convertible promissory notes, voting agreements, subscription agreements and buy-sell agreements
  • Assist strategic, angel and venture capital investors in connection with purchase of convertible debt and preferred stock securities
