Over the past 21 years of practicing law, Pat has handled financial transactions for numerous entities in the public, banking, corporate, nonprofit, governmental and real estate sectors. He is a Director and a member of the Affordable Housing, Business, Financial Institutions, Public Affairs, Public Finance, Real Estate, Real Estate (Florida), Securities Regulation and Tax Groups.

Experience

Pat became a Director at Cohen & Grigsby in 2002. He concentrates his practice in the area of public finance. He has served as bond counsel and counsel to issuers, underwriters, borrowers, developers and trustees in connection with numerous tax-exempt and taxable bond issues and private financings in Pennsylvania and elsewhere. He has served as lead counsel in some of western Pennsylvania’s largest project financings, including transactions involving hotel, convention center, stadium and retail facilities, continuing care retirement communities, solid waste disposal, paper recycling and student housing.

He also negotiates with federal regulatory agencies, including the Pennsylvania Department of Health and the Pennsylvania Department of Labor and Industry, on behalf of 501(c)(3) entities, for-profit health care providers and authorities to secure grant financing and meet other regulatory mandates.

He advises companies on financing options and prepares all transactional, security and real estate documentation; and advises quasi-government entities on matters of corporate governance.

In addition, Pat counsels clients regarding structured investment products and derivatives as utilized by issuers of tax-exempt and taxable securities.  He also represents issuers and borrowers in IRS bond audit matters, including the negotiation of closing agreements, private letter ruling and informal requests for advice from the IRS.

Honors and Achievements

Pat was a member of the firm's Public Finance Practice Group that was listed in The Bond Buyer's Municipal Marketplace, commonly known as The Red Book, an industry "who's who" of bond counsel and underwriters. The group was listed in the book in 2008 for its role in serving as bond counsel on $936.1 million of municipal bond issues in 2007, the fourth highest amount in Pennsylvania and in 2002 as the second highest amount in Pennsylvania with $606.4 million of municipal bond issues. Cohen & Grigsby also served as the underwriter's counsel, borrower's counsel and letter of credit bank counsel on other tax-exempt bond issues that were not included in the total.

As part of his practice, Pat serves as bond counsel, underwriter's counsel, trustee's counsel, counsel to the issuer or other corporate obligor and counsel to the financial institution providing credit enhancement in all kinds of public finance transactions.

His experience in financing often makes Pat a sought-after presenter at seminars. He presented "The Mechanics of Low Floater and Other Bond Financing Techniques" at the Pennsylvania Economic Development Association Revenue Bond and Mortgage Financing Seminar in 2004.

In addition, he has presented "Variable Rate Bond Pools" to the Pennsylvania Association of School Business Officers and "Municipal Bond Refunding Issues and Forwards and Options Structures" at the Pennsylvania State Association of County Controllers Annual Meeting. Pat currently serves on the Board of Directors of the Pennsylvania Association of Bond Lawyers.

Pat has presented public comments on proposed IRS regulations concerning qualified administrative costs adjustments to bond yields.

He has also written about topics relevant to his practice. He wrote "Interest Rate Swaps Offer Local Governments More Financing Options" for the Cohen & Grigsby Review in 2004.
