Christie specializes in counseling both public and private companies with respect to corporate matters, corporate governance, securities law compliance and mergers and acquisitions. She is a Director and member of the Business, Securities Regulation, Mergers and Acquisitions, and Commercial Lending Groups. 

Experience

Christie regularly provides guidance to senior management and boards of directors on a number of corporate, transactional and corporate governance related issues. Christie has counseled clients in a number of transactions, including mergers and acquisitions, tender offers, public and private offerings, and other reorganizations. Christie has significant experience counseling clients with respect to federal securities laws. She also regularly handles commercial lending transactions, both for institutional lenders and corporate borrowers, contract preparation and negotiation, joint ventures and strategic alliances, and other general corporate matters.

Prior to joining Cohen & Grigsby, Christie was in-house counsel at Tollgrade Communications, Inc., a telecommunications company listed with NASDAQ, from 2006 to 2008. As an attorney for Tollgrade, Christie prepared SEC filings and counseled the company on various corporate governance and securities-related issues, particularly in the areas of executive compensation and periodic reports.

Christie began her legal career as an Associate in the Corporate and Securities Group at Reed Smith in Pittsburgh from 2002 to 2006. She prepared SEC filings for compliance with the 1933 and 1934 Act and national listing exchange rules for U.S. companies and foreign private issuers. She also assisted with various mergers, acquisitions and divestitures for public and private companies, including a $1.4-billion merger of two public companies. She counseled clients on a variety of corporate matters, such as formation, dissolution, reorganization, joint ventures and corporate governance issues.

Honors and Achievements

Christie was named a 2010 Pennsylvania Super Lawyer "Rising Star" in Business/Corporate law. The selection process includes peer nominations and independent research on candidates. She has written a number of articles relating to SEC rules and regulations, particular with respect to executive compensation and corporate governance matters.
