Mr. Healy is in the
Business and Tax Group concentrating his practice in public finance, banking, corporate finance, project
finance, nonprofit 501(c)(3) and authorities law, including
work under the Municipal Authorities Act of 1945, nonprofit 501(c)(3),
municipal and authority finance, corporate and governmental law and real estate. Mr. Healy also concentrates in Section 103
Federal Tax Code matters as it applies to tax exempt financing. He secures tax exempt financing for state and local governments
and agencies, health care institutions, educational institutions, water and sewer authorities, port authorities,
transportation authorities, redevelopment authorities, student loan agencies,
and industrial development authorities.

Representative Matters- Serves as bond counsel, underwriter’s counsel, indenture trustee’s counsel, counsel to the issuer or other corporate obligor and counsel to the financial institution providing credit enhancement in all kinds of public finance transactions.
- Represents commercial banks, investment banks and other financial institutions, as well as for-profit and nonprofit corporate borrowers and other private developers and issuers of debt, in many varieties of secured and unsecured commercial lending transactions, public and private debt offerings and project financings throughout the United States.
- Negotiates with federal regulatory agencies, including the Pennsylvania Department of Health and the Pennsylvania Department of Labor and Industry, on behalf of 501(c)(3) entities for-profit health care providers and authorities to secure grant financing and meet other regulatory mandates.
- Advises companies on financing options and prepared all transactional, security and real estate documentation.
- Advises quasi-governmental entities on matters of corporate governance, amended articles of incorporation, prepared operating and service agreements.
- Counsels clients regarding structured investment products and derivatives as utilized by issuers of tax-exempt securities.
- Requests issues in IRS bond audit matters including the negotiation of closing agreements, private letter ruling requests and informal requests for advice from the IRS.
