Mr. Carlisle is a business attorney.  Mr. Carlisle provides practical advice to entrepreneurs and executives, helping them to prioritize business and legal issues and enabling them to make decisions and judgments.  Mr. Carlisle's experience ranges from advising start-up businesses and helping them to grow by raising capital and issuing securities, to advising large public companies on mergers, acquisitions and a variety of other issues.

  • Start-up and Emerging Businesses.  Mr. Carlisle frequently functions as general counsel to his clients, playing a key role in legal and business decisions, which have long-term implications.  He counsels on start-up planning, business formation, obtaining capital, financing, developing business plans, developing compensation models and option plans to motivate employees, and growing through sales, mergers, additional capitalizations or public securities offerings and exit strategies.  Jim also represents numerous public and private technology consulting (solutions and staffing) companies with regard to software development and licensing, joint ventures, technology acquisitions and e-commerce issues and opportunities.  He provides advice to biotechnology, venture capital funds, and institutions engaged in business and technology spin-offs.
  • Mergers and Acquisitions.  Jim has completed a variety of acquisitions and divestitures for companies in the technology, industrial, energy, healthcare, automotive, service and entertainment industries.  He is known for bringing an enthusiastic approach to projects, and for creating solutions to enable clients to meet or exceed their objectives and to “get the deal done”.
  • Real Estate.  Mr. Carlisle regularly represents landlords, tenants and developers in buying, selling, leasing, developing and financing real estate.

Representative Matters

  • Auction-based acquisition of speech recognition business from a large international public technology enterprise out of a bankruptcy in the U.S. Bankruptcy Court for the District of Delaware.
  • Represented a large healthcare information systems company in connection with its software development and licensing issues as it developed its various software products, expanded its user base and completed an initial public offering. Represented company in connection with corporate and business matters related to IPO.
  • Represented university in licensing of technology to established and start-up companies.
  • Advised numerous venture capitalists and investors in the formation and operation of venture funds.
  • Represented automotive dealership in formation of new operating entity, purchase agreement for acquisition of existing dealership, acquisition of real property from third party owner, dealer agreements with automobile manufacturer, acquisition-related financing and floorplan financing with various lenders.
  • Auction-based acquisition of flooring adhesives division of a large public company by U.S. affiliate of German conglomerate.
  • Represented an international chemical concern in connection with series of joint venture and corporate partnering arrangements.
  • Represented real estate developer in acquiring, leasing, financing and developing mixed use commercial development.
  • Joint venture for the manufacture and sale of competitive swimwear on behalf of German concern.
