Paul specializes in counseling companies with respect to a broad range of corporate matters and has particular expertise in public and private offerings of securities and securities law compliance.  He is a Director and a member of the Business, Emerging Business, International Business, Mergers and Acquisitions, Securities Regulation, Venture Capital and Private Equity Groups.

Experience

Paul advises companies in all stages of their development from business formation and capital-raising transactions to liquidity events.  He focuses on securities offering regulation and compliance, mergers and acquisitions, venture capital, emerging business and strategic transactions.

During the past 15 years, Paul has counseled buyers and sellers of businesses by means of merger, tender offer, share exchange and asset purchase, including the acquisition of public companies by means of cash tender offer and stock merger.  He has also counseled issuers of notes and other securities in private-placement transactions with large institutional investors.

Paul has substantial experience advising public companies with respect to their reporting and disclosure obligations under the federal securities laws and corporate governance matters.

He has served as counsel to lead investors in connection with their investments in first and follow-on rounds of venture-capital financing; venture-financed companies in down-round and cram-down financings, including the implementation of pay-to-play and similar mechanisms; startup companies in first and follow-on rounds of venture capital financing, including related development and partnership agreements with strategic investors; and entrepreneurs with respect to entity formation, seed funding and other organizational matters.

Honors and Achievements

Paul is an experienced securities and transactional lawyer.  He has written numerous articles over the years, detailing the SEC’s adoption of new regulations regarding various matters, including executive compensation and proxy rules.
