Mr. Stadler's practice is principally devoted to advising healthcare clients and tax exempt organizations in various transactions and disputes.  He represents healthcare providers, practitioners, and related enterprises in all aspects of their operations including mergers, acquisitions, and divestitures; corporate structuring and reorganization; contracting; managed care issues; professional rights disputes; reimbursement appeals; licensure and regulatory compliance matters; tax exemption issues; and antitrust compliance.  Mr. Stadler provides general counsel services to several hospitals, nursing homes, home health agencies and other healthcare related entities.  He also has an active healthcare litigation practice which encompasses tax exemption disputes, healthcare contract claims, professional rights litigation, and the like.  The balance of his practice involves the representation of for profit and not for profit businesses in commercial transactions and litigation.

Representative Matters

  • Assisted a university in establishing a medical school.
  • Represented local community leaders in acquiring governance and control of a local hospital from a national healthcare system.
  • Structured and implemented joint ventures to own and operate nursing facilities, surgery centers, renal dialysis facilities, radiation treatment facilities and the like.
  • Negotiated and closed hospital merger, asset sale and affiliation transactions.
  • Represented both physicians and institutions in structuring and consummating physician practice acquisitions.
  • Successfully resolved Medicare fraud and False Claims Act prosecutions involving both institutional providers and individual practitioners.
  • Represented hospitals in developing and implementing physician recruitment and retention programs.
  • Negotiated managed care and third-party payor contracts for hospitals, a large multi-specialty physician practice, and other providers.
  • Represented hospitals, nursing facilities and home health agencies in successful reimbursement appeals before the PRRB, the Department of Public Welfare and throughout the state and federal courts.
  • Represented hospitals and physicians in medical staff privilege disputes and related court proceedings.
  • Established numerous non profit corporations and assisted them in securing applicable tax exemptions.
