This session will review the executive compensation provisions of the Dodd-Frank Act and evaluate their impact on the corporate governance and proxy statement disclosure practices of public companies. The session will focus on the shareholder advisory vote provisions on executive compensation and the SEC's proposed rules on compensation committee independence. It will be of interest to anyone whose practice involves corporate governance or employee benefits as well as anyone who wants to understand some of the principal factors shaping the development of corporate law.
